Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Hotline Labs Ltd ("Company", "we", "our", "us"), concerning your access to and use of VendorPad (the "Service").

By accessing or using VendorPad, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

VendorPad is a business management application designed for event vendors, including mobile caterers, DJs, photographers, and wedding suppliers. The Service provides tools for lead management, quoting, calendar scheduling, payment tracking, and related business functions.

3. Account Registration

To use VendorPad, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account

You must notify us immediately of any unauthorised access to your account.

4. Subscription and Payment

4.1 Free Tier: We offer a free tier with limited features. No payment is required for the free tier.

4.2 Paid Subscriptions: Paid plans are billed monthly or annually in advance. All prices are in GBP and inclusive of VAT where applicable.

4.3 Free Trial: Paid plans include a 14-day free trial. You will not be charged until the trial period ends.

4.4 Cancellation: You may cancel your subscription at any time. Access continues until the end of the current billing period. No refunds are provided for partial periods.

4.5 Price Changes: We may change our prices with 30 days' notice. Continued use after the notice period constitutes acceptance of the new prices.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorised access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Upload malicious code or content
  • Impersonate any person or entity
  • Collect user information without consent
  • Use the Service to send spam or unsolicited communications
  • Reverse engineer or attempt to extract the source code
  • Resell or redistribute the Service without authorisation

6. Your Data

6.1 Ownership: You retain all rights to the data you input into VendorPad. We do not claim ownership of your business data.

6.2 Licence: You grant us a limited licence to use your data solely to provide and improve the Service.

6.3 Export: You may export your data at any time in standard formats.

6.4 Deletion: Upon account termination, we will delete your data within 90 days, unless required to retain it by law.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Hotline Labs Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

8. Third-Party Services

VendorPad may integrate with third-party services (e.g., Google Calendar, payment processors). Your use of such services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOTLINE LABS LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Hotline Labs Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
